1. Acceptance of Terms and Operator Information

1.1 Agreement

These Terms and Conditions ("Terms") form a legally binding agreement between you and Alexes Navarro Garcia, an individual operating the Lumi Shows platform, using the trade name "Lumi Shows" ("Lumi," "we," "us," or "our"), regarding your access to and use of the Lumi Shows mobile application, websites, live-commerce tools, auctions, marketplace services, payment flows, messaging features, seller tools, buyer tools, virtual currency, digital gifts, notifications, content, and related services (collectively, the "Platform").

By creating an account, selecting an acceptance box, accessing, browsing, bidding, buying, selling, streaming, chatting, purchasing or using Coins, sending digital gifts, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to these Terms and the policies incorporated by reference.

If you do not agree, do not create an account or use the Platform.

1.2 Incorporated Policies

These Terms incorporate the Privacy Policy and any Seller Policy, Prohibited Items Policy, Refund and Dispute Policy, Auction Rules, Community Guidelines, Payment Policy, Shipping Policy, Virtual Currency Policy, or other rule that Lumi makes available on its official legal pages or within the Platform. A more specific policy controls only for the subject it addresses.

1.3 Updates

Lumi may update these Terms to reflect changes in law, Platform functionality, payments, shipping, safety controls, or business operations. Material changes may be presented for renewed acceptance. The effective version will be identified by its version number and effective date.

1.4 Electronic Communications and Actions

You consent to receive operational communications by email, in-app message, push notification, account notice, or another method made available by Lumi. You are responsible for keeping your contact information current.

Account creation, acceptance boxes, bids, purchases, listings, sales, confirmations, and other actions submitted through the Platform may constitute legally binding electronic actions and signatures to the extent permitted by law.

1.5 Language

These Terms may be available in English and Spanish. For the United States service, the English version is the controlling version to the extent permitted by applicable law. Translations are provided for accessibility.

2. Eligibility, Age, and Restricted Users

The Platform is intended only for individuals who are at least eighteen (18) years old and legally capable of entering binding agreements. Minors may not create accounts, bid, buy, sell, stream, use transaction chat, purchase Coins, send digital gifts, or conduct transactions on Lumi, even with parental permission.

You represent that all eligibility, identity, address, payment, banking, tax, and account information you provide is truthful, complete, current, and yours to provide.

You may not use Lumi if you are prohibited by law, subject to applicable sanctions or restrictions, previously banned without written permission to return, using another person's identity, or attempting to evade an account restriction.

Lumi may restrict, suspend, or terminate access; cancel transactions; require verification; or apply reasonable risk controls when it believes an account or activity creates legal, safety, fraud, payment, or marketplace risk.

3. Account Registration and Security

Certain features require a registered account. You must provide accurate information and keep it updated, including your email, phone number when requested, shipping and billing details, payment method, seller information, tax information, and any information necessary to complete transactions or verification.

You are responsible for protecting your password, devices, authentication methods, and recovery information. Do not sell, transfer, rent, lend, or share your account. Activity submitted through your account may be treated as authorized unless Lumi determines that unauthorized access occurred.

Notify support-us@lumishows.com promptly if you suspect unauthorized access, a compromised password, misuse of a payment method, or other suspicious activity.

Multiple or related accounts may be restricted when used to evade enforcement, manipulate auctions, abuse promotions, avoid fees, conceal identity, or interfere with investigations.

Usernames, seller names, profile images, bios, and other public account content must not impersonate others, infringe rights, mislead users, or violate Lumi policies.

4. Identity Verification and Risk Review

Lumi may require identity, age, address, payment-method, tax, business, or seller verification before or after allowing buying, selling, streaming, bidding, receiving seller settlements, participating in promotions, or continuing to use the Platform.

Verification may include government identification, selfie or liveness checks when available, proof of address, email or phone verification, payment-method ownership, tax information, banking or payout information, business records, or other reasonable evidence.

Completing verification does not guarantee approval. Lumi may request re-verification, limit features, hold a transaction or seller settlement, or deny access when information is missing, inconsistent, altered, false, unverifiable, or associated with risk.

Verification providers and payment processors may process information under their own terms and privacy notices. Lumi's handling of personal information is described in the Privacy Policy.

5. Nature of the Marketplace

Lumi operates a technology marketplace that provides software, discovery, live-streaming, auction, communication, payment-facilitation, moderation, and support tools for transactions between independent buyers and sellers. Except where Lumi expressly identifies itself as the seller of a specific item or applicable law requires otherwise, Lumi is not the seller, owner, manufacturer, importer, distributor, warehouse, carrier, or guarantor of products listed by third-party sellers.

For each third-party item, the seller is the independent provider of the product and the primary contracting party responsible to the buyer for ownership, authenticity, legality, safety, condition, description, pricing, availability, warranties, recalls, taxes, packaging, fulfillment, delivery, returns, and compliance with law. Buyers remain responsible for reviewing listings, bids, prices, delivery details, and transaction terms.

Sellers are independent users and are not employees, agents, partners, joint venturers, franchisees, or representatives of Lumi. No seller has authority to make promises, warranties, representations, or commitments on behalf of Lumi or to bind Lumi to any obligation.

Seller approval, identity verification, listing review, moderation, dispute assistance, payment facilitation, or removal of content does not constitute an endorsement, certification, warranty, inspection, authentication, or guarantee by Lumi of any seller, product, transaction, or outcome.

Lumi may moderate content, approve or remove sellers, suspend listings, cancel or adjust transactions, request evidence, review disputes, hold settlement amounts, and take other reasonable steps to protect users and the Platform.

Platform features may change, be limited by region or account, or be discontinued. The availability of a feature in a draft, help page, or prior version does not guarantee that it is currently offered.

6. Buyer Terms

Before bidding or buying, review the product description, images, live presentation, seller statements, condition, price, taxes, fees, shipping or delivery method, and any disclosed limitations.

A winning bid or completed purchase is a binding commitment. The buyer authorizes the available payment flow to charge the selected payment method for amounts shown or properly adjusted under these Terms.

Buyers must provide accurate delivery information, respond to reasonable coordination requests, inspect items promptly after receipt, and report material problems through Lumi within the time shown in the Platform or applicable policy.

Buyers may not place fake bids, coordinate bidding, use unauthorized payment methods, harass sellers, submit knowingly false claims, misuse chargebacks, or move transactions off-platform to avoid Lumi rules or fees.

Buyer remedies remain subject to applicable law. Nothing in these Terms removes non-waivable consumer rights.

7. Seller Terms

Selling is a separate privilege and may be limited to invited, approved, or verified sellers. Lumi may approve, deny, limit, suspend, or revoke selling privileges based on verification, risk, performance, product category, complaints, disputes, fraud indicators, or policy compliance.

Sellers bear primary responsibility for every product they list, demonstrate, auction, sell, ship, deliver, or fail to deliver. Sellers must offer only authentic, legally owned, safe, available, accurately described, permitted products; disclose all material defects and risks; use truthful images and live statements; maintain inventory accuracy; package items appropriately; satisfy all warranties and recall obligations; meet disclosed fulfillment duties; and preserve evidence relevant to delivery or disputes.

Each seller is responsible for buyer claims, returns, refunds, chargebacks, injuries, property damage, regulatory issues, taxes, penalties, shipping costs, and other losses attributable to the seller’s product, listing, statements, conduct, packaging, fulfillment, or legal noncompliance. Lumi may provide a buyer-facing remedy and recover the full related amount from the responsible seller, subject to applicable law.

A seller’s use of Lumi does not transfer the seller’s legal duties to Lumi or to Stripe. Sellers must maintain any insurance, licenses, registrations, permits, safety notices, warranty support, and records appropriate for their products and activities.

Sellers may not sell counterfeit, stolen, illegal, unsafe, recalled, infringing, or prohibited goods; manipulate bids; use related accounts to inflate prices; misrepresent product condition; or pressure users into off-platform payment.

Sellers are responsible for applicable licenses, permits, taxes, customs obligations, product compliance, and records. Lumi may collect or report information where required, but does not provide tax or legal advice.

Lumi does not guarantee sales, audience size, placement, visibility, approval, or any minimum earnings.

8. Auctions and Binding Bids

Bids submitted through Lumi are intended to be binding. By bidding, you agree that if your bid is the winning bid, you must pay the final amount and comply with the displayed transaction and delivery terms.

Bids generally cannot be withdrawn because of regret, misunderstanding of price, or finding another offer. Lumi may void or correct a bid or auction for a verified technical error, material listing error, prohibited item, fraud, manipulation, safety concern, or other reasonable cause.

Lumi's server records, event logs, bid records, and transaction status control timing and outcome when device displays differ because of latency, connectivity, or processing delays, subject to applicable law.

Sellers and users may not engage in shill bidding, coordinated bidding, artificial demand, bot activity, or use family members, employees, friends, or alternate accounts to influence auction outcomes.

Chance-based, mystery, break, pack, or similar formats may be limited or prohibited unless expressly approved and operated in compliance with applicable law and Lumi policy.

9. Payments and Processing

Payment functionality is provided through independent third-party payment providers, including Stripe, and may also involve banks, card networks, wallet providers, or other financial-service providers. Payment processing is subject to each provider’s own terms, privacy notices, underwriting, verification, availability, fees, reserves, dispute procedures, and risk controls.

Lumi is not a bank, depository institution, card network, or escrow agent and does not offer users a bank account, deposit account, or guaranteed stored-value account. Lumi facilitates payment and settlement instructions through its providers but does not control or guarantee authorization, settlement, chargeback decisions, holds, reserves, reversals, payout timing, bank availability, or card-issuer decisions.

By using a payment feature, buyers and sellers authorize Lumi and the applicable payment provider to collect, use, transmit, and process payment, identity, transaction, and risk information as necessary to complete or review the transaction. A payment provider may decline, delay, condition, reverse, or report a transaction under its own rules or legal obligations.

Where supported by the payment configuration and permitted by law, each seller appoints Lumi and its payment providers as the seller’s limited payment collection agent solely to accept buyer payments for Platform transactions and route eligible settlement amounts. This limited appointment does not make Lumi the seller of the product and does not transfer the seller’s fulfillment, product, tax, warranty, or consumer-law obligations to Lumi or Stripe.

Stripe and other payment providers supply payment infrastructure only. They are not parties to the buyer-seller product agreement, do not guarantee the seller’s goods or delivery, and do not assume the seller’s obligations merely because they process or route funds.

Winning auctions and Buy Now purchases may be charged immediately or collected through the payment flow presented to the buyer. If a payment fails, Lumi may retry when authorized, require another method, cancel or suspend the transaction, limit bidding or buying, or restrict the account.

Lumi may charge disclosed commissions, service fees, promotional fees, payment-related fees, shipping or delivery charges, taxes, or adjustments. Fees and settlement rules may change prospectively after reasonable notice.

Lumi may review, delay, block, cancel, reverse, refund, or refuse transactions where fraud, unauthorized use, counterfeit goods, stolen goods, payment abuse, account takeover, suspicious shipping, or other material risk is suspected.

Unless otherwise displayed, United States transactions are denominated in U.S. dollars.

10. Shipping, Delivery, and Fulfillment

The delivery method shown for a transaction controls. Unless checkout expressly provides a Lumi-assisted shipping label or shipping service, the seller and buyer are responsible for following the delivery or shipping method disclosed in the listing, transaction screen, or chat.

Sellers remain responsible for appropriate packaging, accurate shipping information, timely shipment or handoff, compliance with carrier rules and product restrictions, tracking or delivery evidence, and responding to delivery problems. Buyers are responsible for accurate delivery information and reasonable cooperation. Lumi’s display of a carrier, label, estimate, tracking number, or delivery status does not make Lumi the carrier or guarantee delivery.

Lumi may later provide optional shipping estimates, prepaid labels, tracking integrations, consolidation, or other tools. Such tools apply only when they are actually displayed and accepted for the transaction; these Terms do not promise that they are always available.

Local pickup or manual handoff must be arranged safely and documented through the Platform when available. Users assume the ordinary risks of choosing an in-person exchange and should not share unnecessary personal information.

Carrier delays, loss, theft after confirmed delivery, weather, customs, incorrect addresses, and other events outside Lumi's reasonable control may limit Lumi's ability to provide a remedy, subject to applicable law and the dispute process.

Cross-border shipping is not available unless expressly enabled for the specific transaction.

11. Seller Settlements, Holds, and Reserves

A completed sale does not create an immediate right to withdraw funds. Seller settlement is conditional on successful payment, delivery or fulfillment evidence, expiration or resolution of relevant dispute and chargeback risk, verification, processor availability, and Lumi's disclosed settlement schedule.

Lumi may delay, hold, reserve, offset, freeze, or withhold amounts reasonably necessary to address refunds, disputes, chargebacks, suspected fraud, counterfeit or prohibited products, unpaid fees, negative balances, verification issues, or legal obligations.

Seller settlements may be issued automatically through a supported payout method and schedule. Lumi does not offer an on-demand manual cash-out right unless the Platform expressly enables one.

Lumi may deduct, set off, reserve, or recover disclosed commissions, payment fees, refunds, chargebacks, disputes, shipping adjustments, taxes, penalties permitted by policy, negative balances, and any other amount the seller owes in connection with Platform transactions. If available seller amounts are insufficient, the seller remains responsible for the unpaid balance and authorizes recovery from future settlements or another lawful payment method.

Lumi may rely on records and determinations supplied by Stripe, card networks, banks, carriers, and other service providers when calculating transaction status, holds, reversals, disputes, or settlement eligibility, without assuming responsibility for those providers’ independent acts or omissions.

No interest is paid on pending or held settlement amounts unless required by law.

12. Coins, Digital Gifts, and Other Digital Features

"Coins" are limited-use virtual credits that may be obtained only through an official Lumi purchase or promotional flow and used only for digital features that Lumi makes available. Coins are not legal tender, a bank balance, a deposit, cryptocurrency, or stored cash.

Where permitted, Coins may be purchased through Lumi's official website, including the official Lumi Coins page, or through another official channel that Lumi makes available. The presence of a Coin balance or Coin feature in the app does not mean that every device, country, or app-store storefront will offer the same purchase method or an in-app link to the web purchase page.

Web Coin purchases may be processed by Stripe or another authorized payment processor. The processor supplies payment infrastructure and may apply its own terms, privacy notice, verification, fraud controls, and payment rules. Stripe is not the seller of Coins, does not operate Lumi, and does not decide whether Lumi credits or reverses a Coin balance.

Coins cannot be redeemed for cash, withdrawn, sold, pledged, or transferred outside the Platform. User-to-user Coin transfers are prohibited unless Lumi expressly enables a specific feature.

Coins may be used to send eligible digital gifts or access other digital interactions. A digital gift is a Platform interaction and does not transfer the buyer's Coins to the recipient as cash or as a withdrawable Coin balance.

When Lumi expressly offers a seller or creator earnings program, qualifying digital gifts may generate a separate seller-earnings amount calculated under the disclosed fee and settlement rules. Such earnings are distinct from Coins, are not guaranteed, and remain subject to verification, fraud review, fees, reserves, reversals, and settlement eligibility.

Coin purchases are final once credited or used, except where required by law, duplicated, unauthorized, not credited because of a verified technical failure, or otherwise approved by Lumi. A refund or chargeback may result in reversal of unused Coins, gifts, digital benefits, promotional value, or associated seller earnings. Used or transferred digital value may be non-refundable to the maximum extent permitted by law.

Lumi may modify, suspend, limit, or discontinue digital features prospectively. Lumi will not expire purchased Coins solely because of inactivity unless a lawful expiration rule is clearly disclosed before purchase.

13. Prohibited Conduct

You may not use the Platform to engage in unlawful, fraudulent, deceptive, abusive, unsafe, infringing, or unauthorized activity.

Fraud, identity misuse, payment abuse, chargeback abuse, money laundering, or use of stolen or unauthorized payment methods.

Counterfeit, stolen, illegal, recalled, dangerous, infringing, or prohibited products.

Shill bidding, bid manipulation, fake demand, collusion, bots, or auction interference.

Harassment, threats, hate, discrimination, sexual exploitation, doxxing, stalking, or unsafe conduct.

Off-platform payment solicitation or fee avoidance for marketplace product transactions, except for an official Lumi purchase channel that Lumi itself makes available.

Malware, scraping, unauthorized automation, security testing without permission, account takeover, reverse engineering where prohibited, or interference with Platform operation.

False reports, fabricated evidence, retaliation, abuse of support, promotions, Coins, gifts, or seller-earnings systems.

Lumi may remove content, cancel transactions, restrict features, hold settlements, suspend or terminate accounts, preserve evidence, and cooperate with payment providers or lawful authorities when reasonably necessary.

14. Refunds, Disputes, Returns, and Chargebacks

Buyers and sellers should first attempt to resolve transaction issues through the Platform. A user may then request Lumi review through the available support channel or by contacting support-us@lumishows.com.

Except where applicable law or Lumi Buyer Protection requires otherwise, purchases of third-party physical goods, Buy Now transactions, and winning auction bids are final. There is no return, exchange, cancellation, refund, credit, or price adjustment solely because the buyer changed their mind, no longer wants the item, selected the wrong size or style, dislikes an accurately disclosed condition, found a lower price, believes market value changed, or expected a used or collectible item to be in better condition than the seller disclosed.

Used, vintage, open-box, handmade, and collectible products may have age, wear, variations, repairs, odors, packaging damage, missing original packaging, or other characteristics. A condition or characteristic clearly shown or disclosed in the listing or live presentation is not an undisclosed defect and ordinarily does not qualify for a remedy.

Potentially covered claims include an item that was not shipped or delivered, a missing or incorrect item, material damage or a material functional defect not disclosed before purchase, an item materially different from the listing or live presentation, a counterfeit item, a duplicate or unauthorized charge, a verified Lumi technical error, or another circumstance protected by non-waivable law.

If the Platform offers a pre-shipment cancellation-request feature, a buyer may submit a request, but the request is not a right to cancel. The seller may accept or decline it unless Lumi or applicable law requires cancellation. After shipment or delivery, cancellation is generally unavailable and the buyer must use the applicable claim process.

Sellers may not publish or enforce a return, refund, exchange, warranty, or cancellation policy that conflicts with Lumi policy or removes mandatory buyer rights. A seller may voluntarily offer a full refund, partial refund, replacement, or another remedy through the official Lumi transaction or support flow, but no exchange or replacement is guaranteed and Lumi may approve, deny, condition, document, or override a proposed remedy when necessary to enforce policy, protect users, address fraud, or comply with law.

Lumi may request order records, photos, videos, packaging evidence, tracking, delivery confirmation, live-stream records, chat records, payment records, identity verification, or other relevant evidence. A claim must be submitted within the period displayed in the applicable policy or transaction flow, subject to longer non-waivable legal periods. Failure to respond or preserve the item and packaging may affect the outcome.

For a third-party product, the seller bears primary financial responsibility for remedies caused by non-delivery, late or deficient fulfillment, inaccurate descriptions, undisclosed defects, counterfeit or prohibited goods, warranty obligations, recalls, legal noncompliance, or other seller-controlled circumstances. Lumi may issue or facilitate a remedy to protect the buyer or Platform and charge, debit, reserve, offset, or recover the corresponding amount from the seller.

A return may require prior authorization, timely shipment, tracking, and return of the item, accessories, and included materials in materially the same condition, except for changes reasonably necessary to inspect the item or resulting from the covered issue. Return-shipping responsibility will be determined under Lumi policy and applicable law.

Users must not submit knowingly false or abusive claims or chargebacks. Contacting Lumi first is encouraged, but nothing in these Terms eliminates rights under applicable law or card-network rules. Lumi may hold or adjust seller settlements during a dispute, refund, chargeback, fraud review, or delivery investigation.

Lumi's platform decision governs access to Lumi remedies and account status, but does not prevent either party from pursuing non-waivable rights before a court, government agency, payment provider, or other competent authority.

15. General Terms, Applicable Law, and Contact

15.1 Applicable Law and Informal Resolution

These Terms are governed by the laws applicable in the State of California and the United States, without depriving consumers of mandatory protections that apply to them. Before filing a court action, users are encouraged to contact support-us@lumishows.com and allow a reasonable opportunity for good-faith resolution.

A claim that cannot be resolved informally may be brought before a court of competent jurisdiction. Where legally permitted, venue may lie in San Bernardino County, California. Eligible claims may be filed in small claims court. These Terms do not require arbitration and do not contain a class-action waiver.

15.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, ALL SELLER CONTENT, LISTINGS, LIVE STREAMS, DIGITAL FEATURES, PAYMENT AND SHIPPING TOOLS, AND THIRD-PARTY SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LUMI DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT TO THE EXTENT SUCH A WARRANTY CANNOT LEGALLY BE DISCLAIMED.

Lumi does not warrant or guarantee any seller, buyer, product, authenticity claim, condition statement, delivery result, earning opportunity, payment approval, payout timing, uninterrupted availability, error-free operation, or freedom from harmful components. Seller approval, verification, moderation, dispute review, or payment facilitation is not an endorsement, certification, insurance policy, or guarantee.

15.3 Limitation of Liability

To the maximum extent permitted by law, Lumi is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill, reputation, opportunity, or anticipated savings; or losses caused by users, seller products, listings, live statements, carriers, payment processors, banks, card networks, third-party services, connectivity failures, unauthorized conduct, or events outside Lumi’s reasonable control. Lumi is not responsible for the acts, omissions, products, promises, warranties, taxes, shipping, delivery, or legal compliance of any seller or other user. These exclusions do not apply where prohibited by law or to liability that cannot legally be limited.

To the maximum extent permitted by law, Lumi’s total aggregate liability for all claims arising out of or relating to the Platform or these Terms will not exceed the greater of (a) the Platform fees, excluding product price, taxes, shipping, payment-processing amounts, and amounts payable to sellers, that the claimant paid directly to Lumi during the twelve (12) months before the event giving rise to the claim, or (b) US$100. The existence of multiple claims does not increase this limit.

15.4 Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Alexes Navarro Garcia, Lumi Shows, and their service providers from third-party claims, losses, liabilities, penalties, chargebacks, refunds, damages, judgments, and reasonable costs, including legal fees, arising from your unlawful conduct, breach of these Terms, account misuse, content, listings, products, warranties, recalls, taxes, shipping, fulfillment, personal injury, property damage, infringement, fraud, or violation of another person’s rights. Each seller specifically accepts this obligation for claims arising from products the seller lists, demonstrates, sells, ships, delivers, or fails to deliver. This obligation does not apply to the extent a claim was caused by Lumi’s gross negligence, willful misconduct, or other liability that cannot legally be excluded.

15.5 App Stores, Purchase Channels, and Privacy

Apple Inc., Google LLC, Stripe, banks, card networks, and other third-party providers are not sellers of third-party marketplace products and are not parties to the buyer-seller product agreement. Downloading or using the app through an app store may also be subject to that store's terms and policies.

The availability of in-app billing, an external web purchase, a link to an external purchase page, or another payment channel may differ by device, country, account market, and app-store storefront. Lumi may offer only the purchase channels permitted by applicable law and platform rules. Nothing in these Terms promises that the same purchase method or link will be available in every storefront.

Lumi's separate Privacy Policy describes the collection, use, disclosure, retention, protection, and deletion of personal information. App-store privacy disclosures are summaries for store distribution and do not replace the Privacy Policy. Mandatory rights under applicable law and applicable store terms remain unaffected.

15.6 Severability, Assignment, and No Waiver

If a provision is unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will remain effective. You may not assign your account or rights under these Terms without Lumi's written consent. Lumi may assign these Terms to a successor or future legal entity operating the Platform, subject to applicable law and notice where required. Failure to enforce a provision is not a waiver.
